40 OUR FOOTPRINT Dansko is committed to being your favorite company. We care about the bigger picture and quality of life, rather than just selling products. We require our manufacturing partners around the world to adhere to our Code of Conduct regarding working environments, labor, human rights, and safety. TERMS & CONDITIONS CREDIT TERMS: All new stores and storefronts must be pre-approved by Dansko, LLC and by a regional Dansko independent sales representative. Dansko s standard terms are net 30 days, with approved credit. A Dansko Credit Application form must be completed, signed and returned to Dansko before credit will be assessed. All new accounts must complete, sign, and return the Dansko Standard Terms & Conditions of Sale agreement to Dansko before any merchandise can be shipped. DELIVERY: Dansko will make every effort to ship within a reasonable period of order receipt. 4-8 weeks should be allowed for items not currently in stock. Unless otherwise advised by Dansko, all back-orders are considered valid, will be shipped as available, and will include shipping charges. All orders will be shipped via UPS ground unless otherwise requested. Accounts will be notified in the event of anticipated delays in delivery. All shipments are subject to a $1.75 per carton handling fee. If a shipment is refused for any reason other than shipper error, a $3.50 per pair re-stocking fee, plus shipping costs, will be charged. Drop ship items and orders of one or two pairs will be assessed a $5.00 service charge, per order. Transshipping Dansko products by an Account is not permitted without prior written approval from Dansko. PAYMENT TERMS: Failure to pay invoices within terms, post-dating checks, or checks returned for non-sufficient funds are grounds for non-shipment. A service charge of 1.5% per month will be assessed on all overdue accounts. It is the Account s responsibility to inspect all shipments and notify Dansko of any claims or invoice discrepancies within 30 days of invoice date. Deductions from payments for any reason will not be permitted until credit memos are issued. RETURNS: Returns will be accepted for defective merchandise only. If products are repairable, Dansko may, at its discretion, incur the cost to repair the product before replacing or crediting the account. No item may be returned without first contacting Customer Service to obtain an RA#; a $3.50 per pair re-stocking fee will be assessed for invalid RA#s. 41 MARKETING SUPPORT GUIDELINES Dansko can help support your marketing efforts through a variety of marketing resources. Dansko s Marketing Support is intended to increase both awareness around the Dansko brand and traffic in your store through activities such as advertising, direct mail, social media, digital communications, fixtures and promotional materials. To be eligible for Dansko Marketing Support and reimbursement, marketing and advertising activities and materials must be pre-approved by Dansko in writing and conform to the Guidelines described in this document. Activities that are eligible for Marketing Support promote Dansko products and use Dansko authorized branding, logos, and other marketing materials. For help planning an ad campaign or an event, or for help with artwork, call Dansko at 800.DANSKO.4 ( ) and ask for the Marketing Department, or MarketingSupport@dansko.com. MARKETING SUPPORT ELIGIBILITY Retailers may be eligible to receive reimbursements for Marketing Support in an amount up to 3% of annual purchases (less any sales returns). Marketing Support is calculated on a calendar year basis and resets at the start of each new calendar year. Requests for Marketing Support, including advertising, fixture, and promotional material orders, must be pre-approved in writing by Dansko. STEP 1. REQUEST MARKETING SUPPORT To request Support for your Marketing Activity, complete a new Marketing Support Request form located on Retailer.Dansko.com. If artwork is complete, submit a copy of your artwork along with your request form. You will be notified by Dansko within three business days after submission of your request and its status for Support. If Support is approved, you will receive a confirmation with a PO number. All Marketing Support Requests should be received a minimum of four weeks prior to the advertisement/ publication print deadline or event date. GWP requests must be received a minimum of four weeks prior to the event date. STEP 2. ARTWORK REVIEW If you did not include your artwork with your Marketing Support Request form, you will now need to submit it for review Dansko s written pre-approval of artwork is required for Marketing Support. Whether a print ad, , webpage, catalog, point-of-purchase or piece of merchandise, all communication must be true to the Dansko brand to maintain consistent brand messaging. Artwork for which Marketing Support is requested, must be submitted for pre-approval at least two weeks prior to the advertisement/publication print deadline or event date. Upload your artwork in the Marketing Support Portal at Retailer.Dansko.com You can visit Retailer.Dansko.com as a resource for ad slicks, logo downloads, media scripts and other marketing downloads. The Dansko Retailer Site is password protected. To create a login, click Create a New Account and provide the required information. The next time you visit the Retailer Site, simply log in with your account credentials. Please Note: Subject to Dansko s approval to provide Marketing Support for your Marketing Activity as described above, any print, digital or radio ad using a Dansko template from the Retailer Site will be reimbursed up to 100% and any ads using materials produced outside of Dansko will be reimbursed up to 50%. Advertisements that feature other brands will be subject to a reduction in reimbursement. STEP 3. REIMBURSEMENT Once the approved Marketing Support activity has ended, please complete and submit your Reimbursement Form with appropriate documentation in the Marketing Support Portal at Retailer.Dansko.com. The Reimbursement Form must be submitted to Dansko no later than 60 days from the date of the advertisement or event and you will need to provide: A copy of the original invoice and tearsheet with the actual advertisement; A copy from the publication in which the advertisement appeared; or For radio and television advertising, you must provide written confirmation of the actual air times and copy from the advertisement. 42 WHAT ADVERTISING IS ELIGIBLE TO RECEIVE MARKETING SUPPORT? The following activities are, with Dansko s written pre-approval, eligible for Marketing Support: Print, television and radio ads Electronic Display advertising Facebook marketplace advertisements Mobile advertisements Advertisements on other social media platforms The following activities are NOT eligible for Marketing Support: SEO and paid search advertising with pay-per-click list generation Posts on social media pages Ads on a retailer s own website Online directories and review sites Website maintenance Other activities not pre-approved by Dansko Dansko will not reimburse for any advertising that includes pricing lower than Dansko s MSRP. Subject to Dansko s approval to provide Marketing Support for your Marketing Activity as described above, Marketing Support may be used towards: DISPLAY & FIXTURES: Marketing Support may be used towards up to 100% of the cost of FRED display and fixture items, including any shipping charges (within the contiguous United States only). PROMOTIONAL PRODUCTS: Marketing Support may be used for promotional items for up to 100% of the cost of items. Retailers are responsible for shipping costs on all promotional items. Leather care products are not considered promotional items. USE OF THE DANSKO LOGO Always use the Dansko logo in its original form without any changes, including when used in print, digital or television advertisements. By using the logo in its original form, you help ensure that customers recognize your store as an authorized Dansko retailer. Brand recognition only occurs after a consumer has seen a logo 12 times or more; consistent use of the Dansko logo will help drive consumer recognition with your store. Always use a high-resolution logo file in layout or artwork. DO NOT stretch, crop, recolor, resize, change the color, or otherwise modify the Dansko logo. All of Dansko s other policies and terms apply to these guidelines and eligibility to participate in Marketing Support is subject to an account not being in violation of any of Dansko s other policies and terms. The foregoing includes, but is specifically not limited to, the requirement that an account be in good credit standing with Dansko in order to participate.
