Page 4 HeArt of the Ouachitas March 2018 Board of Directors Meeting Minutes, February 13, 2018 Board Members Attending: Tiffany Lane, Barbara Lewis, David Maddox, Dorothy Ann Stevenson, Sandra Thomas, Lorraine Timmerman, Barbara Tobias, Diane Warren and Jan Wennberg. Also in Attendance: Carolynne Sizemore, Julie Vande Zande. The meeting was called to order by Chairman Lorraine Timmerman at 5:31 pm. Minutes of the January retreat were reviewed. There were several small corrections in the numbering of sections and typographical errors. Tiffany made a motion to accept the minutes with the noted corrections. David seconded the motion which passed unanimously. The January financial reports were reviewed. Jan made a motion to approve the financials, Diane seconded, and the financials were approved. Executive Director s Report Julie reported that there were no expenses for the artist s garage sale, so for sales of work during the show, the gallery received $570.62 and artists received $142.64. Barbara Tobias portrait class also raised $550 for the gallery. The Art of Hair show is upcoming, and Facebook is reflecting lots of interest in the event, which is sponsored by the U of A Rich Mountain Cosmetology School. Julie has called on several salons and distributed flyers. Hair artists will enter two different judged categories and pay entry fees, which will be retained by the gallery. One category is the head mannequin competition, and the other is a before and after competition with four different categories: style, braiding, cut and color. This show is at no cost to the gallery. Preparations are also being made for the Young Artist s Show. Work is still being done with the CPA s office in order to make the financial entries easier. Julie is now doing the invoice entry and writing checks, while the CPA is making deposits, reconciling statements, and handling payroll, payroll taxes and sales taxes. This will be the arrangement for the time being. It was suggested that only one person at any given time be responsible for entering data into the gallery QuickBooks program. The Walmart grant for $1,000 has been applied for in order to fund children s activities and classes. The Downtown Partners cash mob came in to the gallery on February 10 th and was the largest group yet to attend the event. They purchased items that netted the gallery $177.25 with $516.75 to artists, donated $88.15 to the cash jar, and signed up two new members. The Chamber of Commerce will be completing a tourism video, and John Titsworth Jr. will be filming a portion of it at the gallery. The Arkansas Arts Council had approached the gallery as a venue for their Taking it to the Schools program, and in an email vote, the Board submitted six yes votes to host the event. The program will take place on June 14 th. There were no objections from any of the Board members present at the meeting. Julie will be getting a new signature card at the bank, listing Barbara Tobias, Rick Chrisman, Jan Wennberg, Tiffany Lane, and Lorraine Timmerman as signatories, as agreed upon during the January retreat. Pat Brown will be removed from the signature card as well. Committees and Special Events Building and Maintenance No issues to be addressed. Exhibits No meeting. CONTINUED ON PAGE 5
Page 5 HeArt of the Ouachitas March 2018 Art of the Heartland The committee met on February 8 th, and is currently working on finding advertising opportunities to utilize the recently acquired A&P Commission grant in the amount of $1,750. These funds are specifically designated to advertise the upcoming Small Works show. The committee is also exploring options for designating a percentage of funds beyond the seed money needed for the 2019 show to the gallery. Ouachita Art Celebration No meeting. Marketing and Promotion The final rental agreement was presented to the Board. David made a motion, and Tiffany seconded the motion, to approve this agreement. The Board voted unanimously to approve the agreement. Sandra has also contacted area public calendars and Chambers of Commerce to locate free listing opportunities for public announcements regarding gallery events. Membership Changes were made to the membership application, which was presented to the Board. On March 17 th at 6pm there will be a membership gathering with a St. Patrick s theme. The gathering will be for members only, to provide them with a chance to meet and visit in a relaxed atmosphere. Finance No meeting. Fundraising The committee reviewed the needs for show budgets in 2018 to help determine amounts that the committee needs to raise for prize money and show overhead. As the 2018 budget has not yet been passed by the Board, Julie asked that the upcoming show budgets be considered now so that show coordinators know that they have been approved to move forward with their shows. Tiffany made a motion to approve the show budgets as listed in the Fundraising Committee meeting minutes from January 30 th, 2018: Youth Show - $1,400; Ouachita Expressions - $1,170; Photography Show - $2,500; Show ribbons - $200. Dianne seconded the motion, which passed unanimously. The Valentine Bake Sale will be held on February 14 th. Next meeting is scheduled for Tuesday, February 27 th, 5:30pm. Old Business The changes of the Articles of Incorporation and Bylaws that were reviewed during the retreat were officially presented to the Board. David made a motion to adopt the changes (with the typographical revisions). Sandra seconded the motion, which passed unanimously. There being no further business, the meeting adjourned at 6:30 pm. Director s Report for February 2018 Our Arkansas, The Natural State was a huge hit! Thanks to Jan Wennberg for coordinating this show for us. Thank you everyone who helped hang the show, check in and check out entries.
