«The entrepreneur is enterprising he is not just a financier.» Philippe Gaydoul

About Us The Swiss GAYDOUL GROUP is the holding company for the Gaydoul-Schweri family. The GAYDOUL GROUP is rooted in the entrepreneurial activities of my grandfather Karl Schweri, Swiss pioneer of the discounting sector. In the year 2000 he entrusted me with leadership of the family business «Denner». It was my goal to hone in on our core competencies by paring down the structure of a family enterprise that had grown organically up to that point. This initiative increased our revenues threefold, despite a saturated market, to three billion Swiss Franks. After selling the «Denner» business to the Swiss Migros Group, in 2007 we founded the GAYDOUL GROUP, an active investment company based on core Swiss values. GAYDOUL GROUP activities encompass the premium and luxury goods market in the segments fashion, sports fashion, accessories and beauty and wellness. We engage in businesses that are sustainable for the future. We see ourselves as a longterm orientated entrepreneurial alternative to the Anglo-Saxon private equity investment model. Philippe Gaydoul About Us Gaydoul Group

Our Values Entrepreneurial Our business culture is rooted in the entrepreneurial mentality and activities of our founder, discounting pioneer Karl Schweri. We pursue long-term goals and adhere consistently to our own guiding principles core components of a founding culture that still lives on. Independent Intellectual and financial independence are vital prerequisites enabling us to act according to our own convictions. Fiscal and professional solidity are important contributing factors to our independence. Ambitious For us, embarking on an entrepreneurial venture means taking responsibility for actively guiding the business to the targeted success. Values Gaydoul Group

Our Group Gaydoul Invest Our activities are divided into three business areas: Investment, asset management and real estate. The core division Gaydoul Invest concentrates on long-term majority stake investment in premium and luxury goods companies with strong prospects for the future in the fashion, sports fashion, accessories, and beauty and wellness segments. The Gaydoul Real Estate division owns choice properties at premium Swiss locations. Gaydoul Asset Management is responsible for investing and managing all remaining asset categories. Our investment division looks to acquire majority stake interest primarily in companies with strong future viability in the premium and luxury goods sector. Our involvement is long-term and active. Select segments of the fashion, sports fashion, accessories, and beauty and wellness markets take center stage. Our preferred partners are headquartered in Switzerland, Germany and Austria. Gaydoul Asset Management The asset management division is where we handle all other asset categories, such as stocks, bonds and alternative investments. Here we actively manage our own portfolios based on a strategy of absolute return. Gaydoul Real Estate In the real estate division we make direct investments in retail, residential and commercial real estate. Our properties are situated at choice locations or in centers of economic activity in Switzerland. Gaydoul Group GAYDOUL GROUP Group

Our Investment Fundamentals We invest in companies in the premium and luxury goods sector in the fashion, sports fashion, accessories, and beauty and wellness segments. We take an interest in brands that move us emotionally. We make our investment decisions according to criteria based on our entrepreneurial selfimage and our own convictions and values. Capacity for Internationalization When contemplating an acquisition, the market potential of the company in question is a foremost consideration. This includes, as a rule, the possibility of international expansion. Good prospects and a clear product concept are important brand requirements in this regard. Majority Stake We are actively engaged in our businesses, work hand-inhand with our partners, and want to be able to influence company and product strategies, thus we aim to achieve a majority stake or to acquire entire enterprises. This can also mean a step-by-step takeover in the framework of a succession solution. Verticality Experience has shown us that companies with independent, vertical product and sales structures have the greatest potential for further development and value creation. It follows that we are especially interested in companies that display a high degree of independent verticality. Cultural Roots Our entrepreneurial experience has taught us that distinctive cultural features lend significant substance and solidity. We thus give preference to enterprises that, like ours, have their roots in a family business and are based in Germanspeaking Europe. Investment Fundamentals Gaydoul Group

NAVYBOOT: The Premium Shoe & Accessories Brand from Switzerland with a Modern, Innovative Interpretation of «Swissness». The result is shoes and accessories for women and men that are unique in the premium sector. With signature design elements, loving attention to detail, and carefully supervised manufacturing primarily in Switzerland, Italy and the UK, the brand unites the key characteristics of the luxury genre in a high quality premium product. GAYDOUL GROUP involvement We invest in companies with demonstrable retail expertise in the premium and luxury market sector. We are actively engaged in developing Navyboot from a Swiss purveyor of shoes and accessories into a fashionable brand of international acclaim. In establishing the product profile three main elements are of particular significance: Distinctive design, a professional product development structure and clearly defined, high standards of quality. These aspects are supported by a new shop architecture design; focus on a select shop network at premium locations; and an innovative communication strategy. Our Investment Goal To develop NAVYBOOT into an internationally leading Swiss brand in the premium shoes and accessories segment. Gaydoul invest Navyboot

FOGAL: For Almost 90 Years a Name Synonymous with High Quality Hosiery and Knitwear. A traditional Swiss brand heritage coupled with expert craftsmanship and innovative energy are the strong foundation supporting one of the leading luxury brands in a highly selective market. This exclusive status finds expression in a product range that blends premium quality and aesthetics with an unaffected use of natural materials to form a harmonious whole. This combination of subtle sensuousness and cultivated luxury defines FOGAL as emotional perfection. GAYDOUL GROUP Involvement Our engagement is long-term, our investment sustainable. In the case of FOGAL we are pursuing a highly selective distribution strategy and a product range policy dictated by the key brand value: Fashionable understatement. In practice, this means monobrand stores at top locations and a shop-in- shop concept in up-market department stores. For us, this also means the further development of the high recognitionvalue FOGAL design, which consists of the interplay of finest hosiery and coordinated premium quality knitwear overgarments. Our Investment Goal To solidify the leading market position held by FOGAL as the number one brand for high quality hosiery, and to extend the know-how and success of the company to its premium knitwear segment. Gaydoul invest Fogal

JET SET: The Swiss Sports Fashion Luxury Brand with Its Provenance in St. Moritz. It was the first label to combine innovation and functionality with a clear fashion statement. The brand name Jet Set is self-explanatory worldwide, immediately communicating an almost universally coveted lifestyle/emotional world. Right from the start, the brand could boast icons of glamour, such as Grace Kelly and Gianni Agnelli, as loyal fans, lending authenticity to the brand and its promise. With its exceptional products, the Jet Set brand proves that athletic functionality, fashion and luxury can, indeed, unite in harmony. GAYDOUL GROUP Involvement We invest in brands with a strong potential for internationalization and a distinctive character. Our participation will see the successful Jet Set winter concept extended across an all-season program. The valorized product line of this luxury sports fashion brand will be presented in its own stores at the most prominent jet set locales in Europe, the USA and Asia where the jet set meets Jet Set. Our Investment Goal To establish Jet Set as the most internationally coveted luxury brand in the sports fashion segment with stores at all premium summer and winter resort locations and select metropolitan centers. Gaydoul invest Jet Set

HANHART: The German/Swiss Watch Brand Is a Pioneer in the Manufacture of Exquisite Instrument Watches. High-precision, exceptionally reliable and robust enough for use overland, in the air and under water since 1882; Hanhart timepieces unite cutting-edge technology and know-how with the professional expertise born of a long-standing, in-house manufacturing tradition. Their stopwatches are an enduring market leader to this day and the distinctive red button has been a trademark of the Hanhart chronograph since 1939. GAYDOUL GROUP Involvement We invest in traditional brands with pioneering spirit, taking a targeted approach to developing their potential. We are solidifying the market leadership position of Hanhart stopwatches and extending it to the high quality chronograph sector. We are opening up new markets in North America, Russia and China and optimizing our distribution via new international strategic partnerships. Furthermore, Hanhart can now rely on the support of a new communications strategy with the brand slogan «Mastering the Elements». Our Investment Goal To build on the success of the watch brand Hanhart, creating an international market leader for technological watches with Swiss heritage. Gaydoul invest Hanhart

Our Vision As a sustainability-oriented alternative to the Anglo-Saxon private equity investment model we will position ourselves internationally as a distinctively Swiss group. Vision Gaydoul Group
